1. Company details

2. Quotations & pricing
- All prices quoted are FOB Karachi Port unless otherwise stated in writing.
- Prices are valid for 30 days from the date of quotation.
- Prices are subject to change if raw material costs, exchange rates, or fabric specifications change materially before order confirmation.
- Volume discounts apply at thresholds stated in individual quotations.
- Import duties, customs clearance, and destination taxes are the Buyer's responsibility.
3. Orders & confirmation
- Orders are confirmed only upon receipt of a signed Purchase Order and the agreed advance payment.
- Minimum Order Quantities (MOQ) apply per style per colour as stated in the current catalogue.
- Trial orders are accepted at reduced MOQs for new buyers (typically 300 pcs per style).
- Production commences after receipt of advance payment and signed pre-production sample approval.
- Changes to specifications after production commences may incur additional charges and revised lead times.
4. Payment terms

- Payment currency: USD unless agreed otherwise in writing.
- Wire transfer bank details are provided on the proforma invoice only.
- Late payments incur interest at 2% per month on the outstanding balance.
5. Sampling
- Pre-production samples (PP samples) are provided free of charge within 7–10 working days of receiving full specifications.
- Courier costs are on the Buyer's account (DHL/FedEx account number required, or deducted from first order).
- Bulk production commences only after the Buyer returns a signed PP sample approval form.
- Development samples for new designs may incur a sample charge, refunded on placement of a bulk order.
6. Lead times & delivery
- Standard lead times are 35–45 working days from PP sample approval and advance payment receipt.
- Lead times for cardigans and complex constructions may extend to 50 working days.
- Lead times are estimates. We are not liable for delays caused by force majeure, port congestion, or events beyond our control.
- Delivery is FOB Karachi Port. Risk and title pass to the Buyer upon loading onto the vessel.
- Freight forwarding and CIF/DDP delivery available at additional cost — request at time of order.
7. Quality & inspection
- All goods are manufactured to ISO 9001:2015 quality standards.
- AQL 2.5 inspection is conducted prior to every shipment.
- Buyers may arrange third-party inspection (SGS, Bureau Veritas, Intertek) at their cost, scheduled at least 5 working days before the shipment date.
- Minor variations in colour (within 1–2 Delta E) and weight (±5%) are considered acceptable and do not constitute a defect.
8. Claims & returns
- All claims must be raised within 15 days of goods arriving at destination port, with photographic evidence and an independent inspection report.
- For valid quality claims, we will replace defective goods in the next production run or issue a credit note, at our discretion.
- We do not accept returns of goods that have been processed, washed, decorated, or used.
- Claims based on buyer error (incorrect size breakdown, wrong colour approval) are not accepted.
9. Intellectual property
- Designs, tech packs, and specifications provided by the Buyer remain the Buyer's intellectual property.
- We will not produce identical designs for competitors without the originating Buyer's written consent.
10. Confidentiality
Both parties agree to keep confidential all pricing, production details, and business information exchanged during the course of the relationship, for 2 years after the last transaction.
11. Limitation of liability
Our total liability shall not exceed the value of the specific order giving rise to the claim. We are not liable for indirect, consequential, or loss-of-profit claims.
12. Governing law & dispute resolution
These Terms are governed by the laws of Pakistan. In the event of a dispute, the parties shall first attempt resolution through good-faith negotiation within 30 days of written notice.
If negotiation fails, either party may elect one of the following:
- Pakistan: Binding arbitration in Karachi under the Pakistan Arbitration Act 1940.
- International (preferred for US/EU buyers): Binding arbitration under the ICC Rules of Arbitration, with the seat in a mutually agreed neutral city (e.g. London, Dubai, or Singapore). Language of arbitration shall be English.
Nothing in this clause prevents either party from seeking urgent injunctive relief in any competent court.
